Terms of Service


  1. INTRODUCTION

Welcome to Student First, a student information system designed for higher education. These Terms of Service ("Terms") govern your access to and use of the Student First platform, including the website, mobile applications, and all related services (collectively, the "Service").

Student First LLC ("Student First," "we," "our," or "us") provides this Service to you subject to these Terms. By accessing or using the Service, you agree to be bound by these Terms. If you are accessing the Service on behalf of an educational institution, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

IMPORTANT: Your educational institution has entered into a separate Subscription Agreement with Student First that governs the institutional relationship. These Terms supplement that agreement and govern your individual use of the Service. In the event of any conflict between these Terms and your institution's Subscription Agreement with us, the Subscription Agreement will prevail.

  1. RELATIONSHIP WITH YOUR INSTITUTION
    1. Institutional Subscription. Your access to Student First is made available through a subscription purchased by your educational institution. Your continued access to the Service depends on your institution's maintenance of its subscription and your continued affiliation with the institution.
    2. Institution Policies. As a user of Student First, you are also bound by your institution's policies regarding technology use, data privacy, academic integrity, and code of conduct. These Terms do not replace those policies, and you must comply with both.
    3. Institution Administration. Your institution's administrators have certain rights regarding your account, including the ability to (a) set and modify your access permissions and role, (b) access data related to your use of the Service, (c) monitor your activities within the Service, (d) suspend or terminate your access and (e) apply institutional settings and configurations. 
  2. ACCOUNT REGISTRATION AND SECURITY
    1. Account Credentials. You may be assigned account credentials (such as a username and password) by your institution, or you may create credentials through a registration process. You agree to (a) provide accurate and complete information during the registration process, (b) maintain the confidentiality of your password and any other security information, (c) not share your account credentials with others, (d) accept responsibility for all activities that occur under your account, and (e) notify your institution's Student First administrator immediately if you suspect any unauthorized use of your account.
    2. Authentication Methods. Depending on your institution's configuration, you may access Student First through (a) direct username/password authentication, (b) single sign-on (SSO) integration with your institution's identity management system and/or (b) multi-factor authentication if enabled by your institution.
    3. Account Types and Roles. Your access permissions within Student First are determined by your role at the institution (e.g., student, faculty, staff, administrator) and specific permissions assigned by your institution's administrators.
  3. ACCEPTABLE USE
    1. Permitted Use. You may use Student First solely for its intended educational and administrative purposes, including (a) accessing course information and academic records, (b) registering for classes, (c) viewing and managing financial information, (d) communicating with other authorized users, (e) completing academic tasks and processes, (f) other legitimate educational and administrative activities
    2. Prohibited Activities,. You agree not to engage in any of the following prohibited activities: (a) violating any applicable laws, regulations, or your institution's policies, (b) attempting to access data or functionality beyond your authorized permissions, (c) sharing your account credentials with others or using another person's account, (d) interfering with the proper operation of the Service, (e) attempting to bypass or circumvent security measures, (f) using the Service to transmit any viruses, malware, or other harmful code,(g) engaging in unauthorized data collection, scraping, or harvesting, (h) uploading or sharing inappropriate, offensive, or unauthorized content, (i) using automated scripts or bots to access the Service without permission, (j) engaging in any activity that places an unreasonable load on the Service infrastructure, or (k) any other use that is not for legitimate educational or administrative purposes.
    3. Academic Integrity. You agree not to use the Service in ways that violate academic integrity principles, including: (a) unauthorized collaboration on assignments or assessments, (b) accessing unauthorized academic materials, (c) falsifying academic records or information, or (d) any other actions that would constitute academic dishonesty under your institution's policies.
  4. CONTENT AND DATA
    1. Your Content. You may have the ability to submit, upload, or share content through the Service ("User Content"). You retain ownership of your User Content but grant Student First and your institution all rights necessary to host, store, transfer, and otherwise use this content in connection with providing the Service.
    2. Responsibility for Content. You are solely responsible for all User Content you submit, upload, or share through the Service. You represent and warrant that: (a) you have all necessary rights to submit your User Content, your User Content does not violate any third party's intellectual property or other rights, and your User Content complies with these Terms and all applicable laws. 
    3. Content Removal. Student First and your institution reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.
    4. Feedback. If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant Student First a non-exclusive, royalty-free, perpetual, irrevocable right to use that Feedback for any purpose without compensation or attribution to you.
  5. PRIVACY AND DATA HANDLING
    1. Privacy Practices. Our collection and use of your information is governed by: (a) these Terms, (b) the Student First Privacy Policy, available at privacy.studentfirst.com, (c) the Data Processing Addendum between Student First and your institution, (d) your institution's privacy policies, (e) applicable privacy laws, including FERPA. Detailed responsibilities and indemnification related to data security incidents and breaches are specifically described in the Data Processing Addendum (DPA) and the Subscription Agreement between Student First and your institution.
    2. Educational Records. Student First stores and processes educational records as defined by the Family Educational Rights and Privacy Act (FERPA). Your educational records are primarily controlled by your institution. Student First processes this data on behalf of your institution as a "school official" with a "legitimate educational interest" in accordance with FERPA.
    3. Data Access and Correction. Requests to access, correct, or delete your educational records should typically be directed to your institution's registrar or appropriate administrator, in accordance with your institution's FERPA policies.
    4. Analytics and Service Improvement. Student First may collect and use de-identified, aggregated data derived from your use of the Service for purposes such as service improvement, user experience enhancement, and statistical analysis. This data is anonymized and does not identify you personally.
  1. INTELLECTUAL PROPERTY
    1. Ownership of the Service. The Service, including all software, designs, graphics, interfaces, logos, and documentation, is owned by Student First and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service, except the limited right to use it as expressly permitted by these Terms.
    2. License to Use. Subject to your compliance with these Terms, Student First grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purposes.
    3. Restrictions. You may not (a) modify, adapt, or hack the Service, (b) reverse engineer, decompile, or disassemble any aspect of the Service, (c) create derivative works based on the Service, (d) copy, reproduce, or distribute any part of the Service, (e) remove any copyright, trademark, or other proprietary notices, or (f) use the Service for any commercial purpose not authorized by Student First. Further rights and obligations regarding intellectual property, including indemnification provisions, are detailed in the Subscription Agreement between your institution and Student First. 
    4. Third-Party Content. The Service may include content, information, or software from third parties. Such third-party content may be subject to additional terms and conditions.
  2. SYSTEM AVAILABILITY AND UPDATES
    1. Service Availability. Student First strives to maintain high availability of the Service. However, the Service may occasionally be unavailable due to (a) scheduled maintenance, (b) emergency maintenance, (c) technical issues or system failures, or (d) factors outside our reasonable control. For specific availability commitments, please refer to the Performance Standards Addendum between Student First and your institution.
    2. Updates and Changes. Student First may update, modify, or enhance the Service at any time. Some updates may temporarily affect availability or functionality. Significant updates will typically be announced in advance through the Service or via institutional communications.
  3. THIRD-PARTY INTEGRATIONS
    1. Integrated Services. Student First may integrate with other systems used by your institution, such as learning management systems, payment processors, or other educational technology platforms. Your use of these integrated services may be subject to additional terms and conditions from those third-party providers.
    2. External Links. The Service may contain links to external websites or resources. Student First is not responsible for the content or practices of these external sites and resources.
  4. TERM AND TERMINATION
    1. Term. These Terms are effective from your first access to the Service and remain in effect until either (a) your institution's subscription to Student First terminates, (b) your account is deactivated or terminated, or (c) you cease to be affiliated with the institution.
    2. Termination of Your Access. Your access to Student First may be terminated (a) by your institution, in accordance with its policies, (b) by Student First, if you violate these Terms, or (c) automatically, if your affiliation with the institution ends. 
    3. Effect of Termination. Upon termination: (a) your right to access and use the Service will immediately cease, (b)( your account may be deactivated, and (c) Student First may retain your data in accordance with its data retention policies, applicable laws, and its agreements with your institution. 
  5. DISCLAIMER OF WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. STUDENT FIRST DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  1. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUDENT FIRST AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT STUDENT FIRST HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
  2. INDEMNIFICATION. You agree to defend, indemnify, and hold harmless Student First and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights. These indemnification obligations are in addition to, and do not limit, any indemnification rights or responsibilities described in the Subscription Agreement between your institution and Student First.
  3. CHANGES TO THESE TERMS. Student First may revise these Terms from time to time. The most current version will always be posted on the Service. If a revision, in our sole discretion, is material, we will notify you and/or your institution. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.
  4. GOVERNING LAW. These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For institutions subject to specific state laws regarding governing law provisions, the governing law specified in the Subscription Agreement between Student First and your institution will apply. For institutions subject to specific state laws regarding governing law provisions, the governing law specified in the Subscription Agreement between Student First and your institution will apply.
  5. DISPUTE RESOLUTION Any dispute arising from or relating to these Terms or your use of the Service will be resolved in accordance with the dispute resolution provisions in the Subscription Agreement between Student First and your institution.
  6. GENERAL PROVISIONS
    1. Entire Agreement. These Terms, together with any other legal notices and agreements published by Student First via the Service, constitute the entire agreement between you and Student First concerning the Service.
    2. Waiver and Severability. The failure of Student First to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
    3. Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without Student First's prior written consent. Student First may assign these Terms without restriction.
    4. Notices. Notices to you may be made via either email or regular mail, or by posting to the Service. Student First may also provide notices of changes to these Terms or other matters by displaying notices or links to notices through the Service.
  7. ACCESSIBILITY. Student First is committed to making its Service accessible to all users, including those with disabilities. The Service is designed to be compatible with common assistive technologies and complies with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards.
